Terms of Service
These Terms of Service ("Terms") are a contract between you and Asistn ("we", "us") that govern your access to and use of the Asistn website, dashboard, APIs and any related services (together, the "Service"). Please read them carefully. By creating an account, clicking "I agree", or using the Service in any way, you agree to be bound by these Terms. If you are using Asistn on behalf of a company, you confirm you have the authority to bind that company.

01Acceptance of these terms
By accessing or using the Service you confirm that you have read, understood and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
We may publish additional terms for specific features (for example, a Data Processing Addendum, an API addendum, or a partner program agreement). Where those apply they form part of these Terms.
02The service
Asistn is a software-as-a-service platform that lets business owners reply to their customers on WhatsApp automatically using an AI assistant. The Service includes, depending on your plan:
- Inbox and conversation routing across the WhatsApp Business Cloud API.
- An AI agent that drafts and sends replies on behalf of the business.
- Lead qualification, scoring and follow-up sequences.
- Workspace settings: system prompt, brand voice, knowledge base, goals, conversion rules.
- Team collaboration, contact assignment and notes.
- Webhooks, API access and integrations with Meta Ads, Google Ads and other tools.
- Reports and analytics.
We may release, change or remove features over time. We will give reasonable notice before retiring a feature you actively rely on.
03Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract to use Asistn. You must not be barred from using the Service under the laws of Indonesia, the United States, the European Union or any country in which you operate.
Asistn is intended for use by businesses and organisations. Consumer or purely personal use is not supported and is not permitted.
04Your account
To use Asistn, you create an account and connect a WhatsApp Business phone number you lawfully own and have authority to operate. You are responsible for:
- Providing accurate and current information at sign-up and keeping it updated.
- Safeguarding your password and any API keys we issue.
- All activity that occurs under your account, including by your team members.
- Promptly notifying us at [email protected] if you suspect unauthorised access.
New accounts are subject to a verification step before activation. We may refuse to activate, or may deactivate, any account that we reasonably believe is fraudulent, misrepresented, or operated for prohibited purposes.
05Acceptable use
You agree not to, and will not let any team member, customer or third party:
- Use Asistn to send unsolicited bulk messages, spam, "blasts", chain messages or unwanted promotions.
- Send messages to recipients who have not opted in to hear from your business, or who have opted out.
- Harass, threaten, defraud, scam, phish, impersonate or stalk any person.
- Sell, promote or facilitate illegal goods or services, regulated goods without proper licensing, weapons, tobacco to minors, recreational drugs, adult content, gambling without local authorisation, or pyramid / MLM schemes.
- Distribute malware, run penetration tests against our infrastructure without prior written permission, or attempt to circumvent rate limits, quotas or security controls.
- Reverse-engineer, decompile, scrape, frame or mirror any part of the Service except where local law expressly permits.
- Use the Service to build a competing product, or to train a machine-learning model whose primary purpose is to compete with Asistn.
- Misrepresent the AI as a human if the recipient asks whether they are speaking to a person.
- Violate the WhatsApp Business Messaging Policy, the WhatsApp Business Solution Terms, Meta's Commerce Policies or any other applicable third-party terms.
We may, but are not obliged to, monitor the Service for violations. If we find one, we may remove content, suspend or terminate accounts, notify affected users and report to authorities where required.
06WhatsApp compliance
Asistn is a third-party tool built on the WhatsApp Business Cloud API. You acknowledge that:
- You will comply with the WhatsApp Business Messaging Policy, including opt-in requirements, the 24-hour customer service window, template message rules and quality-rating obligations.
- You will not use the Service to send marketing or promotional messages to users who have not given prior consent acceptable under WhatsApp's rules.
- Meta may impose limits on, suspend or terminate your WhatsApp Business Account at its discretion. We have no control over those decisions and cannot guarantee continued WhatsApp access.
- If WhatsApp restricts your account, we may be required to suspend related features in Asistn until the restriction is resolved.
07Customer data & ownership
"Customer Data" means all data, content and information you submit to the Service or that customers submit to you through WhatsApp and that we process on your behalf — messages, contact lists, attachments, configurations, AI memory and so on.
- You own your Customer Data. We claim no ownership over it.
- You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, copy, back up and otherwise process Customer Data solely to provide and improve the Service for you.
- You represent that you have the legal right to collect the Customer Data and to upload it to Asistn, including all necessary consents from the individuals concerned.
- You are responsible for complying with the laws that apply to your business and the customers you message — including UU PDP, GDPR/UK GDPR, CCPA/CPRA and any sector-specific rules.
- We process Customer Data as your processor / sub-processor as described in our Privacy Policy and any Data Processing Addendum we have signed with you.
You may export your Customer Data at any time from the dashboard or by emailing us. Upon account termination, we delete Customer Data within the timelines in the Privacy Policy, subject to legal retention requirements.
08AI output
Asistn uses large language models to generate replies, summaries and other content. You acknowledge that:
- AI output is generated automatically and may be inaccurate, incomplete, biased, outdated, offensive or otherwise inappropriate.
- You are responsible for reviewing AI output before it is acted upon for any decision with legal or financial consequences for your customers (e.g. confirming an order, committing to a price, providing professional advice).
- The same prompt may produce different outputs at different times.
- You will not represent AI output as professional advice (medical, legal, financial, tax) and you will not use Asistn to provide such advice without qualified human review.
- To the extent we have rights in AI output we generate for you, we assign them to you; however, similar or identical outputs may be generated for others.
09Plans, billing & refunds
Paid plans are billed monthly or annually in advance, in the currency shown at checkout. By subscribing you authorise us to charge your payment method on the applicable renewal date until you cancel.
- Prices and plan features are described on our pricing page. We may change prices, but a price change will not take effect for an existing subscription until the next renewal, and we will give you at least 30 days' written notice.
- Fees are exclusive of taxes (PPN, VAT, sales tax, withholding) which we will add where required. You are responsible for any taxes applicable in your jurisdiction.
- Refunds. We offer a 7-day free trial. Outside of that, fees already paid are non-refundable except where required by law. If you cancel mid-cycle, your subscription remains active until the end of the paid period.
- Failed payments will be retried for up to 14 days. If payment cannot be collected, we may suspend the Service.
- WhatsApp Business conversation fees charged by Meta are separate from your Asistn subscription and are billed by Meta directly to you.
10Free trial
New accounts may be eligible for a 7-day free trial of a paid plan. You can cancel at any time during the trial and you will not be charged. If you do not cancel before the trial ends, your selected plan begins automatically and the payment method on file is charged. We may modify or discontinue free trials at any time.
11Intellectual property
The Service — including its software, design, content, brand and trademarks — is and remains the property of Asistn and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your business.
- You may not use the Asistn name, logo or trademarks without our prior written consent, except to identify Asistn as your service provider.
- If you submit feedback, ideas or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use them without restriction or compensation.
- We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a takedown notice to [email protected].
12Confidentiality
Each party agrees to protect the other's non-public business and technical information ("Confidential Information") using the same level of care it uses for its own confidential information of similar importance, and at minimum a reasonable standard of care. Confidential Information may only be used to perform under these Terms and may be disclosed only to employees, contractors and advisors who need to know and are bound by confidentiality. This obligation survives termination for three years.
13Suspension & termination
You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your access to the Service immediately if we reasonably believe:
- You have breached these Terms, including the acceptable-use policy in section 5.
- Your use of the Service poses a security or legal risk to us, our other customers, or to third parties.
- You have engaged in fraud, payment chargebacks, or misrepresentation.
- WhatsApp has restricted your account, until the restriction is resolved.
- We are required to suspend by law, regulation or government order.
We will use reasonable efforts to give you notice before suspending, except in emergency or where notice would be unlawful. We may also discontinue the Service in whole or in part on 30 days' written notice. If we do, we will refund any prepaid fees covering the period after termination.
14Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND QUIET ENJOYMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected; that AI output will be accurate, complete or suitable for any particular purpose; that messages will be delivered within any specific time; or that the Service will be compatible with any specific configuration or third-party tool. We do not control Meta, WhatsApp, the carriers, or AI model providers and we are not liable for their acts, omissions, downtime, policy changes or pricing.
15Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO US IN THE TWELVE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
These limits apply regardless of the legal theory (contract, tort, statute, otherwise) on which the claim is based. Some jurisdictions do not allow the limitation of certain damages; in those places these limits apply only to the extent permitted.
16Indemnity
You will defend, indemnify and hold harmless Asistn and its officers, directors, employees and agents from and against any third-party claims, damages, liabilities, losses, costs and expenses (including reasonable lawyers' fees) arising out of or related to:
- Your Customer Data or any content you send through the Service.
- Your or your team's breach of these Terms.
- Your violation of any law or the rights of any third party, including privacy, IP and consumer-protection rights.
- Your products or services, including any goods you sell using Asistn.
We will give you reasonable notice of any claim, allow you to control the defence (provided you do not settle in a way that imposes obligations on us without our consent), and reasonably cooperate at your expense.
17Changes to the terms
We may update these Terms from time to time. For material changes — those that reduce your rights or increase your obligations — we will give you at least 30 days' notice by email or in-app banner before they take effect. For non-material changes (clarifications, typos, new features) the updated Terms take effect upon posting. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not agree, your remedy is to cancel before the effective date.
18Governing law & disputes
These Terms are governed by the laws of the Republic of Indonesia, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Before filing any claim, we agree to attempt in good faith to resolve the dispute informally within 30 days, starting from written notice to [email protected]. Any unresolved dispute will be settled by arbitration under the BANI Arbitration Center Rules in Jakarta, Indonesia, in the English language, by a single arbitrator. Either party may seek injunctive or equitable relief in any competent court to protect its intellectual-property rights or confidential information pending arbitration.
Where local law gives you mandatory rights to bring proceedings before the courts of your domicile, this section does not override those rights.
19General
- Entire agreement. These Terms, together with our Privacy Policy and any signed addenda, are the entire agreement between us and supersede prior agreements on the same subject.
- No waiver. Our failure to enforce a provision does not waive our right to enforce it later.
- Severability. If any provision is unenforceable, the remaining Terms will continue in full force.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (acts of God, war, pandemics, internet failures, third-party provider outages).
- Notices. We may notify you via the email on your account or via the dashboard. You may notify us at [email protected].
- No agency. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary or employment relationship.
- Survival. Sections relating to ownership, payment of accrued amounts, confidentiality, disclaimers, liability, indemnity, governing law and this general section survive termination.
